By making any investment in mutual fund through Investifyd or by creating an investment account on Innvestifyd, you are agreeing to be bound by these Terms and Conditions.

This electronic record is generated by a computer system and does not require any physical or digital signatures. By clicking on the “I ACCEPT” button on this electronic contract, you are consenting to be bound by the Terms and Conditions of this Agreement. Please ensure that you read and understand all the provisions of this document before you start make investing in mutual fund through Investifyd or creating an investment account on Investifyd.

If you do not agree or accept any of the Terms and Conditions contained herein, then please do not use the Investifyd Website, App or make any investment through the Investifyd.

If this document is not in a language that you understand, you shall contact Investifyd at the email care@investifyd.com. Failure to do so within 24 (Twenty-Four) hours from the time of receipt of this document and your acceptance of this document by clicking “I ACCEPT” button shall be considered as your understanding of this document.

By creating Investment Account on the Investifyd, users may start transacting in the mutual funds through Investifyd. Investifyd has arrangements with the selected Mutual Funds/ AMCs to facilitate the users to invest virtually in selected Mutual Funds through Investifyd.

1. Agreement to Terms

• 1.1 These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“Investor or User(s)”) and Finnstudioz Technologies Private Limited, doing business as Investifyd ("Investifyd ", “we”, “us”, or “our”), concerning your access to Website and use of the App as well as any other media form, media channel, mobile application related, linked, or otherwise connected thereto.

• 1.2 Supplemental terms and conditions or documents that may be posted on the Investifyd from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions from time to time.

• 1.3 The information provided on the Investifyd is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Investifyd from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

• 1.4 The Investor shall provide their financial data and details only after getting agreed with the terms of use. Investifyd collets investor’s data in line with SEBI (Security Exchange Board of India) Norms, RTA Norms (CAMS & KARVY), and as per Mutual Fund Company’s Norms.

• 1.5 The User understands and agrees that investment in the mutual funds are subject to market risks, Investifyd shall not responsible for any loss. In addition to this no guarantee or assurance can be given by Investifyd that the projected profit will be earned.

• 1.6 The User further acknowledges that he/ she has read and understood all the information regarding available mutual funds or schemes on Investifyd, profitability and risks factors associated with it before investing in it. User shall be responsible on his/ her own for the risks associated with it.

2. Account and Registration

• 2.1 To access the Investifyd Services and investing in Mutual Fund through Investifyd, you shall be required to create an Investment Account on Investifyd. And to complete your Account registration, you must provide us with your full legal name, father’s name, mother’s name, address, phone number, a valid email address, along with nominee details, Pan Number, bank account details, FATCA details and any other information indicated as required in compliance with the SEBI, BSE, and RTA norms. Investifyd may reject your application for an Account, or cancel an existing Account, for furnishing wrong or falsified information, at our sole discretion.

• 2.2 “KYC and CKYC Norms”: In compliance with the SEBI Mandate, to open an investment account a user must complete his/her KYC (know your client) or Central KYC requirements as it is required under Central Registry of Securitization and Assets Reconstruction and Security interest of India (CERSAI), which is used by all SEBI/AMFI registered intermediaries’ platform. In accordance with the said mandate a user’s registration for investment account shall be only completed if he/she submit the required information, mandatory documents, and verification of KYC information by KYC registration agency and CKYC information by the CKYCR.

• 2.3 After submission of all the required information and upon successful verification of KYC or Central KYC information through KYC registration agency or CKYCR (Central KYC Records Registry), investment account of the user shall be activated for the transaction and investment purpose.

• 2.4 “Authorization”: In compliance with the SEBI norms or other Regulatory Requirements, the user authorise Investifyd to submit his/her KYC/CKYC information and other applicable documents and information (including FATCA, CRS documents, Pan Number, Signature) to the respective Mutual Funds or Assets Management Companies and/or their registrar for the purpose of account validation.

• 2.5 Instant Investment Account opening facility shall be applicable only for those users, who are KRA and CKYCR verified investors. The user acknowledges and agrees to provide required details, information and other relevant documents to Investifyd as may be prescribed from time to time.

• 2.6 The user acknowledges that he/she shall use the Log-in Credentials or Login ID and Password to use the investment account. User shall be solely responsible, at all times for keeping Login ID and Password secure. Investifyd cannot and will not be liable for any loss or damage from your failure to maintain the security of your Account and password.

• 2.7 The user further acknowledges that his/her Investment Account shall remain operative at the option of the Investifyd, and he/she may be stopped using Investifyd services, in whole or part, at any time without giving a prior notice, if user failed to comply with the Terms and Conditions of this Policy or if he/she found in breach of any terms herein mentioned.

3. User’s Representations

• 3.1 By making an investment through Investifyd or using the services of Investifyd, you represent and warrant that:

  • 3.1.1. all registration information you submit will be true, accurate, current, and complete;

  • 3.1.2. you will maintain the accuracy of such information and promptly update such registration information as necessary;

  • 3.1.3. you have the legal capacity and you agree to comply with these Terms and Conditions of this Agreement; and you are not a minor in the jurisdiction in which you reside;

  • 3.1.4. you will not use the Investifyd website or app for any illegal or unauthorized purpose; and your use of the Site will not violate any applicable law or regulation.

• 3.2 If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Investifyd (or any portion thereof).

• 3.3 The user authorise Investifyd to suggest him/her investment options based on the credentials and the profile of the user. User acknowledge that investment options suggested by the Investifyd shall guarantee profit or any gains on user’s investment in Mutual Funds.

4. Booking & Investment

• 4.1 Investifyd allows users to create an account to start investment in the Mutual Funds through Investifyd’s website or app. A registered user with Investment Account shall only be authorised to purchase or sale of Mutual Funds through Investifyd by using his/her registered Investment Account.

• 4.2 An order of sale or purchase of Mutual Funds placed through registered investment account shall only be considered, and such requests shall be further processed in accordance with the sale or purchase requests made by the users.

• 4.3 Any order placed for Mutual Funds on a day other than regular business day, shall be processed or placed on the next business day and the net assets value of respective Mutual Fund of that day shall be applicable on that order.

• 4.4 When a user process an order for the Mutual Funds, the net applicable value of that Mutual Funds shall be applicable, or as may be accepted by the respective Mutual Funds/Assets Management Company. Investifyd shall not be responsible in deciding the net applicable value of the Mutual Funds.

5. Payment and Cancellation

• 5.1 Any order placed for the purchase of the Mutual Funds through the registered account, shall be only processed if such order or request accepted by the Mutual Funds or Assets Management Company. Investifyd shall not responsible for the rejection of such order or request.

• 5.2 The amount for the purchase of mutual funds shall be automatically debited from the registered bank account of user, and the amount shall be further transferred or credited to the respective Assets Management Company.

• 5.3 All the payments for purchasing mutual funds by user shall be made from his/her registered bank account, no third party bank account shall be used for payments. User acknowledges that he/she shall only use the amount earned or obtained from the legitimate sources.

• 5.4 The user agrees and acknowledges that he/she shall at all times, maintain adequate balance in the registered bank account to cover the purchased price of mutual funds or SIP (systematic investment plan) and other applicable charges for the units of mutual funds to be purchased.

• 5.5 You agree and acknowledge that once an order or transaction request placed for the Sale and Purchase of the Mutual Funds on the Investifyd, such order or request cannot be cancelled under any circumstances.

• 5.6 If an order or purchase request for the Mutual Fund is cancelled by the concerned Mutual Fund or Assets Management Company, the deducted amount shall be credited to the user’s bank account upon receiving the refund from the concerned Mutual Fund or Assets Management Company. Investifyd shall not at any cost held be responsible for the delay in refund or credit in the user’s bank account.

6. Payment Gateway

• 6.1 For the smooth facilitation of the online transactions made through investifyd for purchasing Mutual Funds, Investifyd on boarded third party payment gateway services.

• 6.2 The third party payment gateway services shall be based on their sponsor bank network, limitation on transaction may be applicable as per their policies.

• 6.3 User acknowledge that Investifyd availed the services of third party payment gateway for the smooth facilitation of the transaction, Investifyd does not exercise any control over their processing and their systems.

• 6.4 The user may avail the facility of payment gateway to purchase and sale of the Mutual Funds through internet banking, debit card, UPI, and IMPS associated with the payment gateway.

• 6.5 A user can not make a purchase order or request for a purchase of Mutual Funds through using Credit Card facility.

7. Nomination

• 7.1 In accordance to the compliances and as per the regulatory norms, on the new account opening by a user, specifically related to sole/single holding, a user shall require to submit the nomination details.

• 7.2 New account in sole holding shall not be processed without providing nomination details. If the user is not agreed to provide nomination details while opening a new account, his/her request for the new account opening may be rejected, at the option of the Mutual Fund Company or Assets Management Company.

• 7.3 As per the norms a minor can be nominated as the nominee, in such case the details of guardian of such minor shall be furnished by the user.

8. Data Privacy and Confidentiality

We care about data privacy and security. By using Investifyd, you agree to be bound by our Privacy Policy posted on the Website or App, which is in consonance with these Terms and Conditions. If you access the Website or App from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in India, then through your continued use of the Website or App, you are transferring your data to India, and you agree to have your data transferred to and processed in India. 9. Intellectual Property Rights

• 9.1 All content and materials available on Investifyd, including but not limited to text, graphics, app name, code, images and logos are the intellectual property of Finnstudioz Technologies Private Limited, and are protected by applicable copyright and trademark law. Any inappropriate use, including but not limited to the reproduction, distribution, display or transmission of any content on this Website and App is strictly prohibited, unless specifically authorized by Finnstudioz Technologies Private Limited

• 9.2 You must not use any part of the materials available on the Investifyd Platform for commercial purposes without obtaining a license to do so from us or our Investifyd. If you print off, copy or download any part of the Platform in breach of these Terms and Conditions, your right to use the Investifyd will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

• 9.3 In order to make the Investifyd Services available to you, you hereby grant the Investifyd a royalty-free, non-exclusive, worldwide license to copy, display, use, broadcast, transmit and make derivate works of any content you upload or otherwise make available to the Website or App. Investifyd claims no further proprietary rights in your content.

10. Term and Termination

• 10.1 These Terms and Conditions shall remain in full force and effect while using your Investment Account. The Company may terminate your use of Investifyd services made through the Investment Account upon giving 30 (Thirty) days’ prior notice.

• 10.2 Without limiting any other provision of these terms, we reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Investifyd (including blocking certain IP addresses), to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these terms and conditions or of any applicable law or regulation.

• 10.3 We may terminate your use or participation in the Investifyd or delete your account and any content or information that you posted at any time, without warning, at our sole discretion.

• 10.4 If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party.

11. Modifications and Interruptions

• 11.1 We reserve the right to change, modify, or remove the contents and services of the Investifyd at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of Investifyd without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Investifyd.

• 11.2 We cannot guarantee the Investifyd Website or App will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Website or App, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Website or App at any time or for any reason without notice to you.

12. Governing Law and Jurisdiction

These Terms shall be governed by and defined following the laws of India. Finnstudioz Technologies Private Limited and yourself irrevocably consent that the courts at Ahmedabad, Gujarat shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.

13. Limitation of Liability

In conjunction with the Limitation of Warranties, you expressly understand and agree that any claim against us shall be limited to the amount you paid us, if any, for investment in Mutual Funds. Investifyd will not be liable for any direct, indirect, incidental, consequential or exemplary loss or damages which may be incurred by you as a result of using Investifyd, or as a result of any changes, data loss or corruption, cancellation, loss of access, or downtime to the full extent that applicable limitation of liability laws apply.

14. Indemnification

• 14.1 You agree to defend, indemnify, and hold Investifyd, Mutual Fund Companies, Assets Management Companies harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) use of the website or app; (2) breach of these Terms and Condition; (3) any breach of your representations and warranties set forth in these Terms and Condition; (4) your violation of the rights of a third party, including but not limited to intellectual property rights.

• 14.2 Due to the market fluctuations and uncertainty, mutual funds are subject to the market risks. The users understand and agree that under no circumstances Investifyd, Mutual Fund Companies, Assets Management Companies and their agents, employees, representatives and officers shall be liable for the loss caused due to fall in value of mutual fund investment of user.

• 14.3 Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.
